NOTICE REGARDING DISPUTE RESOLUTION FOR THE U.S. USERS: THIS AGREEMENT CONTAIN PROVISIONS THAT GOVERN HOW CLAIMS YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED, INCLUDING AN OBLIGATION TO ARBITRATE DISPUTES, WHICH WILL, SUBJECT TO LIMITED EXCEPTIONS, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING ARBITRATION, UNLESS YOU OPT-OUT. UNLESS YOU OPT-OUT OF ARBITRATION: (A) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST US ON AN INDIVIDUAL BASIS, NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING AND (B) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS.

Terms of Service

Effective Date: September 07, 2021

OkTY C Corporation and its affiliates (including Ivy Koin LLC doing business as OkTY) and subsidiaries (collectively, “OkTY”, “us” or “we”) provide the website https://www.okty.app/ (the “Site”), computing application (“App”), and the data, services, information, tools, functionality, updates and similar materials (collectively, the “Service”), subject to your agreement to and compliance with the conditions set forth in this Terms of Service agreement (the “Agreement”).

This Agreement sets forth the legally binding terms and conditions governing your use of the Service. By using the Service or otherwise entering into this Agreement, you are creating a binding contract with us. If you do not agree to these terms and conditions, you may not use the Service.

This Agreement is subject to change. If this Agreement changes, we will let you know by posting the revised Agreement on the Site and the App and/or otherwise making you aware of the changes. Your continued use of the Service following our notice of changes to this Agreement (or other method of legal acceptance) means you accept such changes. Please refer to the “Effective Date” above to see when this Agreement was last updated.

License

Subject to your compliance with this Agreement, we hereby grant you a worldwide, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

(i) download and install the App, solely on one or more handheld mobile devices owned or controlled by you (collectively, a “Mobile Device”); and

(ii) access, stream, download, and use the Content and the Service, including on your Mobile Device, made available in or otherwise accessible through the Service, strictly in accordance with this Agreement and solely for your personal, non-commercial purposes.

We are not responsible to ensure, and disclaim any responsibility for, your ability to open, use or view the Service we provide. As between you and us, we retain all right, title and interest in and to the Service and all related intellectual property rights.

You acknowledge and agree that the App, the Site, and the Service are provided under license, and not sold, to you. You do not acquire any ownership interest in the App, the Site, or the Service under this Agreement, or any other rights thereto other than to use the App in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this Agreement. We and our licensors reserve and shall retain our entire right, title, and interest in and to the App, the Site, and the Service, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.

Incorporated Terms

A. Requested Information. We collect certain personal information about you, which may be supplied when you register for the Service, when you create or update your account, when you use the Service, from social media platforms, other third parties, or otherwise when you submit such information. The types of PII that we collect and save include:

Services Overview

OkTY is committed to empowering the consumer to take control of when, how, and by whom their personal information is used. Through our Service, you (an “Individual”) can contribute a wide variety of information relating to yourself, ranging from personal information, financial information, and geolocation data. We collect some of this information directly from you when you register, or subsequently interact with the Service. You may also contribute information residing on third-party platforms, such as financial institutions, or by letting us track your location. Notably, we only collect this information with your consent, and you control which information, if any, you would like to share. Our Services allow Individuals to share information with us and, to a limited extent, third parties, in exchange for points. You can also earn points by interacting with the ads from our brand partners (“Businesses”) by watching their ads or content, downloading their offers (coupons, discounts, offers), or taking such offers to online or offline stores. The points are allocated in digital OkTY tokens. You can either accumulate the points (and the corresponding OkTY tokens) and then exchange them for rewards or redeem them for cash.

Users may utilize the Service through a registered account (“Account”) that they have created. Businesses may have Accounts which permit use by authorized employees.

You must keep your user name and password and any other information needed to login to the Service, if applicable, confidential and secure. We are not responsible for any unauthorized access to your Account by others. To use the App, please download it to your mobile device from either the Apple App Store or the Google Play Store (each an “App Store”) and proceed to register and set up your Account.

Through the Service, Businesses may purchase the ability to market and advertise directly to Individuals meeting certain criteria, which criteria they provide to us. The Service will distribute such marketing and advertisements to Individuals meeting those criteria based upon the personally identifiable information (“PII”) that Individuals provide to the Service. We will not share or disclose PII to Businesses unless explicitly directed by the applicable Individual(s) beforehand, who may do so at any time to take advantage of an offer, discount, or other financial incentive offered by one or more Businesses. Once an Individual chooses to share their PII directly with a Business, we will no longer have control over such PII and it shall become subject to the terms of that Businesses terms of service and privacy policy.

To use the Service, you must provide one or more payment methods (“Payment Method”), which may include your bank or other payment account, debit or credit card number, debit or credit card verification or other security code, the expiration date of your debit or credit card, and your address. All information about your Payment Method(s) must be accurate and complete before you access your Account or otherwise place your order. Verification of information by a third party may be required prior to the completion of a Transaction (defined below) or acknowledgment of any Payment Method.

Eligibility

You must be at least eighteen (18) years old to use the Service. By creating using the Service, you represent that you meet this minimum age requirement.

Some parts or all of the Service may not be available to the general public, and we may impose eligibility rules from time to time. We reserve the right to amend or eliminate these eligibility requirements at any time.

By requesting to use, registering to use and/or using the Service, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and you commit to abide by all of the terms and conditions herein.

Important Notices

We do not represent or warrant that access to the Service will be error-free or uninterrupted, or without defect, and we do not guarantee that users will be able to access or use the Service, or its features, at all times.

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service, or any part thereof, with or without notice.

The Service may contain typographical errors or inaccuracies, and may not be complete or current. We reserve the right to correct any such errors, inaccuracies or omissions and to change or update information at any time without prior notice.

The materials appearing on or through the Service including but not limited to summaries, descriptions, publications and any other such materials, are for information purposes only.

Payments and Account Closures

Businesses will make payment to us based upon the services provided at our stated pricing (“Fees”), such Fees are collected and/or processed by our third-party processor (the “Payment Processor”) from their respective Payment Method(s) at the times set forth by OkTY. Then, in turn, the Individuals who receive points (in the form of OkTY tokens) from us, or one or more Businesses shall be able to redeem such points for reward or for a portion of the Fees in cash (each cash payment, a “Commission”, and the collection of Fees and redemption of points each, a “Transaction”) by the Payment Processor. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor, if applicable, which are in addition to this Agreement. We are not responsible for any error made by the Payment Processor.

You agree to provide accurate and complete information about you and your Payment Method, and represent and warrant that you have the legal right to use the Payment Method that you use for any transaction related to our products. Fees and Commissions may be subject to, and do not include federal, local, foreign, or similar transaction taxes (“Taxes”) now or hereafter levied, all of which shall be your responsibility.

IF YOU HAVE AN ACCOUNT, YOU MAY CLOSE IT AT ANY TIME, AND, IF YOU ARE AN INDIVIDUAL, YOU MAY OPT-OUT OF RECEIVING MARKETING OR ADVERTISING FROM ANY OR ALL BUSINESSES AT ANY TIME (AND SUBSEQUENTLY OPT-IN AGAIN, IN YOUR DISCRETION). BUSINESSES SHALL BE RESPONSIBLE FOR PAYING ALL FEES, AND INDIVIDUALS SHALL RECEIVE ALL COMMISSIONS, WHICH ACCRUED PRIOR TO CLOSING OF THEIR RESPECTIVE ACCOUNTS.

TO CLOSE YOUR ACCOUNT, PLEASE EMAIL ADMIN@OKTY.APP FROM THE EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT WITH THE SUBJECT “CLOSE MY ACCOUNT.”

Feedback

We are always happy to hear from you and are grateful for your comments and suggestions on how to improve our Service. By your use of the Service, you agree and hereby consent that we, or our authorized agent, may contact you to request a review, feedback, or commentary regarding our Services, or may otherwise obtain such a review, feedback, or commentary indirectly through a third-party. Furthermore, you agree that review, feedback, and commentary you post or that you submit to us shall constitute Content (as defined below) under this Agreement.

With regarding to any submission of ideas, comments, suggestions, improvements, proposals or materials by you: (a) all Submissions (as defined herein) are non-confidential and non-proprietary; (b) we will not be liable for any use or disclosure of any Submission; and (c) we can use the Submission for any purpose whatsoever, commercial or otherwise, without compensation to the submitting person.

Rules of Conduct

Your use of the Service is conditioned on your compliance with the terms of this Agreement, including but not limited to these rules of conduct.

You represent and warrant:

  • that you agree and acknowledge that you are primarily responsible and liable to us for the acts and omissions, and violations of this Agreement, of any and all users of your Account;
  • that the information that you have provided on the Service is complete, accurate and true, and agree to update it as necessary;
  • you are qualified and authorized to post, upload, communicate with other us about, and make decisions based upon, the materials or information that you make available, if any, or that is otherwise available on, the Service, as required by applicable law, regulation and best industry standards; and
  • you are not a competitor of ours.

You agree that you will not violate any applicable law or regulation in connection with your use of the Service

You agree not to distribute, upload, make available or otherwise publish through the Service any suggestions, information, ideas, comments, causes, promotions, documents, questions, notes, plans, drawings, proposals, or materials similar thereto (“Submissions”) or graphics, text, information, links, profiles, audio, photos, software, music, sounds, video, comments, messages or tags, or similar materials (collectively “Content”) that:

  • is unlawful or encourages another to engage in anything unlawful
  • contains a virus or any other similar programs or software which may damage the operation of our or another’s computer;
  • violates the rights of any party or infringes upon the patent, trademark, trade secret, copyright, right of privacy or publicity or other intellectual property right of any party; or
  • is libelous, defamatory, pornographic, obscene, lewd, indecent, inappropriate, invasive of privacy or publicity rights, abusing, harassing, threatening or bullying.

You further agree that you will not do any of the following:

  • breach, through the Service, any agreements that you enter into with any third parties;
  • stalk, harass, injure, or harm another individual through the Service;
  • modify, adapt, translate, copy, reverse engineer, decompile or disassemble any portion of the Service;
  • interfere with or disrupt the operation of the Service, including restricting or inhibiting any other person from using the Service by means of hacking or defacing;
  • itransmit to or make available in connection with the Service any denial of service attack, virus, worm, Trojan horse or other harmful code or activity;
  • attempt to probe, scan or test the vulnerability of a system or network of the Service or to breach security or authentication measures without proper authorization;
  • itake any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
  • harvest or collect the email address, contact information, or any other personal information of other users of the Service;
  • use any means to crawl, scrape or collect content from the Service via automated or large group means;
  • imake available false, incomplete or misleading information to the Service, or otherwise provide such information to us;
  • impersonate any other person or business;
  • attempt to access or access any portion of the Service that is not public; or
  • attempt to override or override any security measures in place on the Service.

We reserve the right, in our sole discretion, to protect users from violators and violations of these rules of conduct, including, but not limited to, restricting your use of the Service, immediately terminating your use of the Service, or terminating your use of the Service by blocking certain IP addresses from accessing the Service. Notwithstanding the foregoing, our unlimited right to suspend or terminate your access to the Service shall not be limited to violations of these rules of conduct.

Payout terms pertaining to Dwolla, Inc. (“Dwolla ”)

OkTY utilizes Dwolla to facilitate payouts to its users. If you register to create an account to receive payments via our application, you expressly authorize OkTY’s service provider, Dwolla, Inc. to originate credit transfers to your financial institution account. You must be at least 18 years to receive funds. You authorize OkTY to collect and share with Dwolla your personal information including full name, email address and financial information, and you are responsible for the accuracy and completeness of that data. Terms Required By Apple, Inc. (“Apple”)

(a) There Terms are an agreement between you and OkTY only, and not with Apple. OkTY, and not Apple, is solely responsible for the App and the content thereof. Your use of the App must comply with the Usage Rules set forth in the Apple App Store Terms of Use as of the Effective Date of this Agreement.

(b) The license granted to you for the App is a non-transferable license to use the App on any iOS Products that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service, except that such App may be accessed, acquired, and used by other accounts associated with you via Apple’s Family Sharing program or volume purchasing.

(c) OkTY is solely responsible for providing, and Apple has no obligation to provide, maintenance and support for the App. Support requests, as well as questions or complaints regarding the App, may be directed to OkTY C Corporation, at 110 West 11th Street, Suite 400, Los Angeles, CA 90015.

(d) In the event of any failure of the App to comply with any warranty that may exist as a matter of law, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and will not be liable for any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty.

(e) Apple shall not be responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, or (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App’s use of the HealthKit and HomeKit frameworks.

(f) Apple shall not be responsible for the investigation, defense, settlement or discharge of any claim that the App, or your possession and use of the App, infringes a third party’s intellectual property rights.

(g)You represent and warrant that (i) the App will not be downloaded or used in, or transported to, and you are not located in, a country that is subject to a U.S. Government embargo, or has been designated by the U.S. Government as a “terrorist-supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

(i) Apple and its subsidiaries are third-party beneficiaries of this Agreement, and have the right (and shall be deemed to have accepted the right) to enforce this Agreement against you.

Content Submitted or Made Available to Us

You are under no obligation to submit anything to us, and unless otherwise noted, we will not claim ownership of any Content. However, in order for us to provide the Service, we need your permission to process, display, reproduce and otherwise use content you make available to us.

Therefore, if you choose to submit any Content to the Service, or otherwise make available any Content through the Service, you hereby grant to us a perpetual, irrevocable, transferable, sub-licensable, non-exclusive, worldwide, royalty-free license to reproduce, use, modify, display, perform, transmit, distribute, translate and create derivative works from any such Content for purposes of providing the Service, including without limitation distributing part or all of the Content in any media format through any media channels, including, but not limited to, the right to commercially use the rights of publicity, persona, trademark, image and name of the individuals and entities depicted in such Content.

By submitting any Content or Submissions to us you hereby agree, warrant and represent that: (a) the provision of the Content and Submissions is not a violation of any third-party’s rights; (b) all such Submissions and Content are accurate and true; (c) we shall be entitled to use or disclose the Content or Submissions in any way, in accordance with this Agreement, our Privacy Policy, available herehttps://www.okty.app/; and (d) you are not entitled to compensation or attribution from us in exchange for the Submissions or Content.

You acknowledge that we are under no obligation to maintain the Service, or any information, materials, Submissions, Content or other matter you submit, post or make available to or on the Service. We reserve the right to withhold, remove and or discard any such material at any time.

Our Intellectual Property

Our graphics, logos, names, designs, page headers, button icons, scripts, and service names are our trademarks, trade names and/or trade dress. The “look” and “feel” of the Service (including color combinations, button shapes, layout, design and all other graphical elements) are protected by U.S. copyright and trademark law. All product names, names of services, trademarks and service marks (“Marks”) are our property or the property of their respective owners, as indicated. You may not use the Marks or copyrights for any purpose whatsoever other than as permitted by this Agreement.

You acknowledge that the software used to provide the Service, and all enhancements, updates, upgrades, corrections and modifications to the software, all copyrights, patents, trade secrets, or trademarks or other intellectual property rights protecting or pertaining to any aspect of the software (or any enhancements, corrections or modifications) and any and all documentation therefor, are and shall remain our sole and exclusive property or that of our licensors, as the case may be. This Agreement does not convey title or ownership to you, but instead gives you only the limited rights set forth herein.

Data Collection and Use

You understand and agree that our Privacy Policy,https://www.okty.app/, shall govern the collection and use of data obtained by us through your use of the Service.

Enforcement and Termination

We reserve the right to deny all or some portion of the Service to any user, in our sole discretion, at any time, and to suspend or terminate any user at any time. Without limiting the foregoing or assuming additional legal obligations, we have a policy of terminating repeat violators of the Copyright Act, in accordance with applicable law.

All grants of any rights from you to us related to Content, Submissions, or other materials, including, but not limited to, copyright licenses, shall survive any termination of this Agreement. Further, your representations, defense and indemnification obligations survive any termination of this Agreement.

Third Party Links

The Service may contain links to third-party websites, services, and materials. Such links are provided for informational purposes only, and we do not endorse any third-party website or services through the provision of such a link, nor do we promote or endorse any App Store.

The Service may contain articles, text, imagery, video, audio, data, information and other similar materials originating from third-parties, including other users. We do not endorse any third party content, including from App Stores and other users, that may appear on the Service or that may be derived from content that may appear on the Service, even if such content was summarized, collected, reformatted or otherwise edited by us.

No Legal Advice

Nothing contained in this Agreement constitutes legal advice. If you have any questions regarding your legal rights and legal obligations, you should consult with your attorney.

Statute of Limitations

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the App, the Website, the Content, the Service, this Agreement and/or the Privacy Policy must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Publicity

You acknowledge and agree that we may make public the execution of this Agreement or your use of the Service for marketing purposes. You agree that we may include your name, logo (if applicable), and image and likeness (if applicable) on the Site, a list of our customers, and in other marketing materials, which may be made public, and grant to us an irrevocable, perpetual, worldwide, royalty free, freely assignable and transferable license to your name, logo, and image and likeness (if applicable) to do so.

Disclaimers and Limitation on Liability

EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE AND ACKNOWLEDGE THAT THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY, AND WE, AND OUR PARENTS, SUBSIDIARIES, OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES AND SUPPLIERS, SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, ACCURACY, SUITABILITY, APPLICABILITY, MERCHANTABILITY, PERFORMANCE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES OF ANY KIND IN AND TO THE SERVICE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM US SHALL CREATE ANY WARRANTY.

FURTHER, OPINIONS, ADVICE, STATEMENTS, OFFERS, SUBMISSIONS OR OTHER INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SERVICE, BUT NOT DIRECTLY BY US, ARE THOSE OF THEIR RESPECTIVE AUTHORS, AND SHOULD NOT BE RELIED UPON. WE HAVE NO CONTROL OVER THE QUALITY, SAFETY, OR LEGALITY OF SUCH CONTENT, AND MAKE NO REPRESENTATIONS ABOUT SUCH CONTENT. THE RESPECTIVE AUTHORS ARE SOLELY RESPONSIBLE FOR SUCH CONTENT. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS THAT YOU MAKE BASED UPON SUCH CONTENT.

USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICE AT THE TIMES OR LOCATIONS OF YOUR CHOOSING; THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT DATA TRANSMISSION OR STORAGE IS SECURE OR THAT THE SERVICE IS FREE OF INACCURACIES, MISREPRESENTATIONS, VIRUSES OR OTHER HARMFUL INFORMATION OR COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT AS PROHIBITED BY LAW, IN NO EVENT SHALL WE OR OUR AFFILIATES, LICENSORS AND BUSINESS PARTNERS (COLLECTIVELY, THE “RELATED PARTIES”) BE LIABLE TO YOU BASED ON OR RELATED TO THE SERVICE, ANY ACTS OR OMISSIONS BY THE APP STORES OR ANY MARKETPLACE, OR THE ACTIONS YOU TAKE BASED ON THE SERVICE OR THE CONTENT THEREIN, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND SHALL NOT BE RESPONSIBLE FOR ANY LOSSES OR DAMAGES, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE SERVICE.

Notwithstanding the foregoing, in the event that a court shall find that the above disclaimers are not enforceable, then, to the maximum extent permissible by law, you agree that neither we nor any of our subsidiaries, affiliated companies, employees, members, shareholders, officers or directors shall be liable for (1) any damages in excess of $500.00, or (2) any indirect, incidental, punitive, exemplary, special, or consequential damages or loss of use, lost revenue, lost profits or data to you or any third party from your use of the Service or any goods sold or provided by us. This limitation shall apply regardless of the basis of your claim, whether other provisions of this Agreement have been breached, or whether or not the limited remedies provided herein fail of their essential purpose.

This limitation shall not apply to any damage that we cause you intentionally and knowingly in violation of this Agreement or applicable law that cannot be disclaimed in this Agreement.

SOME STATES MAY NOT PERMIT CERTAIN DISCLAIMERS AND LIMITATIONS, AND ANY SUCH DISCLAIMERS OR LIMITATIONS ARE VOID WHERE PROHIBITED.

Indemnification

You agree to defend, indemnify and hold us and our suppliers, subsidiaries, parents, affiliates, licensors, and licensees, and each of their officers, directors, shareholders, members, employees and agents harmless from all allegations, judgments, awards, losses, liabilities, costs and expenses, including but not limited to reasonable attorney’s fees, expert witness fees, and costs of litigation arising out of or based on (a) Submissions or Content you submit, post to or transmit through the Service, if any, (b) your access to or use of the Service, (c) your violation of this Agreement, (d) any conduct, activity or action which is unlawful or illegal under any state, federal or common law, or is violative of the rights of any individual or entity, engaged in, caused by, or facilitated in any way through the use of the Service, and (e) destruction of real or tangible property or personal injury, including but not limited to death, arising from or relating to your actions or inactions.

Release

To the fullest extent permitted by law, you release us, our parent entity, subsidiaries and affiliated companies, and their respective officers, employees, directors, contractors and agents from any and all responsibility, liability, claims, demands, and/or damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with the following: (i) your use of the App and the Service; (ii) disputes between users, including those between you and other users; (iii) your Content or third-party Content; (iv) claims relating to the unauthorized access to any data communications or content stored under or relating to your account, including unauthorized use or alteration of such communications or your Content.

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

International Use

The App, the Site, and the Service are operated by us in the United States. We do not represent or warrant that the App, the Site, or any part thereof, is appropriate or available for use in any particular jurisdiction. Those who choose to access and download the App and access the Site or the Service from locations outside the United States do so on their own initiative and at their own risk, and are responsible for complying with all local laws, rules and regulations, including laws regulating the export of data. We may limit the availability of the App and the Site, in whole or in part, to any person, geographic area or jurisdiction that we choose, at any time and in our sole discretion. Accessing and downloading the App and the Site is prohibited from territories where the Content is illegal.

You represent and warrant that you are in compliance with all laws, restrictions and regulations administered by the Office of Foreign Assets Control (“OFAC”) or any other Governmental Entity imposing economic sanctions and trade embargoes (“Economic Sanctions Laws”) against designated countries (“Embargoed Countries”), entities and persons (collectively, “Embargoed Targets”). You represent and warrant that you are not an Embargoed Target or otherwise subject to any Economic Sanctions Law. You agree to comply with all Economic Sanctions Laws. Without limiting the generality of the foregoing, you agree not to (a) directly or indirectly export, re-export, transship or otherwise deliver any products, services, technology or information of any portion thereof to an Embargoed Target or (b) broker or otherwise facilitate any transaction in violation of any Economic Sanctions Laws.

Governing Law and Jurisdiction; Arbitration

Agreement to Arbitration; Class Waiver. You and OkTY agree, except as provided below regarding small claims court proceedings, any dispute, claim or controversy arising out of or relating in any way to the App, the Service and the Content, including, but not limited to, our Privacy Policy and/or our privacy practices generally, or this Agreement, shall be determined by binding arbitration. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. YOU UNDERSTAND THAT, BY AGREEING TO THESE TERMS, THE U.S. FEDERAL ARBITRATION ACT GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS AGREEMENT, AND THAT YOU AND OKTY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. The laws of the State of California shall govern this Agreement, and shall be used in any arbitration proceeding. This arbitration provision shall survive termination of this Agreement.

Pre-Filing Mediation. In the event of a dispute, prior to initiating arbitration, the party asserting the claim must first send to the other, by overnight courier, a written Notice of Claim (“Notice”). If you are the claimant, the Notice to OkTY must be addressed to: 110 West 11th Street, Suite 400, Los Angeles, CA 90015 or by emailing privacy@okty.app. If we are the claimant, the Notice must be sent to the address we have on file for you in your Account. The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought. Following receipt of the Notice, each party agrees to negotiate with the other in good faith about the claim. If the claim is not resolved to the satisfaction of the claimant within sixty (60) days after Notice is provided, the claimant may pursue the claim in arbitration or file a claim in small claims court, as appropriate.

Additional Arbitration Provisions.

(a) Settlement Offers: During the arbitration, the amount of any settlement offer made by you or OkTY shall not be disclosed to the arbitrator..

(b) Initiating A Claim: The form required to initiate an arbitration can be printed or downloaded from www.adr.org. Alternatively, you may contact the arbitration administrator by calling 1-213-362-1900 or writing to the American Arbitration Association, 725 S Figueroa Street, Unit 400, Los Angeles, CA 90017.

(c)Fees for Initiating Arbitration: If you are required to pay a filing fee to initiate arbitration, after we receive notice of the initiation of arbitration, We will promptly reimburse you for your payment of the filing fee at the address provided in the Notice, unless your claim is for greater than US$10,000.

(d) Applicable Rules; Administrator: The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (the “AAA”), as modified by this Agreement, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-213-362-1900 or writing to the American Arbitration Association, 725 S Figueroa Street, Unit 400, Los Angeles, CA 90017. The arbitrator is bound by the terms of this Agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this Arbitration provision.

(e) Location of Hearing: Unless you and OkTY agree otherwise, any arbitration hearings will take place in Los Angeles, California. If your claim is for US$10,000 or less, we agree you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US$10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a written decision sufficient to explain the essential findings and conclusions on which the award is based.

(f) Class Waiver: YOU AND OKTY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and OkTY agree otherwise, the arbitrator may not consolidate the claims of more than one party, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable as applied to any claim asserted by any individual, then the entirety of the arbitration provision set forth herein shall be null and void.

(g) Injunctive Relief Limitation: The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim.

(h) Small Claims Procedure Alternative: Notwithstanding the foregoing binding arbitration procedure, either party may bring an individual action in small claims court (provided the claim otherwise qualifies for such a program) as an alternative to proceeding with arbitration.

Opt-Out Provision. YOU HAVE THE RIGHT TO OPT-OUT OF THIS ARBITRATION PROVISION WITHIN THIRTY (30) DAYS FROM THE DATE THAT YOU FIRST USE, OR ATTEMPT TO USE, THE SERVICE BY WRITING TO PRIVACY@OKTY.APP OR TO THE ARBITRATION NOTICE ADDRESS. FOR YOUR OPTOUT TO BE EFFECTIVE, YOU MUST SUBMIT A SIGNED WRITTEN NOTICE OPTING OUT AND CONTAINING ENOUGH DETAILS ABOUT YOU FOR US TO BE ABLE TO IDENTIFY YOU WITHIN THIRTY (30) DAYS. IF MORE THAN THIRTY (30) DAYS HAVE PASSED, YOU ARE NOT ELIGIBLE TO OPT OUT OF THIS PROVISION AND YOU MUST PURSUE YOUR CLAIM THROUGH BINDING ARBITRATION AS SET FORTH IN THIS AGREEMENT.

Notwithstanding the foregoing, you agree that we may bring suit in court to enjoin infringement or other misuse of intellectual property or other proprietary rights.

To the extent arbitration does not apply, you agree that any dispute arising out of or relating to the Service, or to us, may only be brought by you in a state or federal court located in Los Angeles, California. YOU HEREBY WAIVE ANY OBJECTION TO THIS VENUE AS INCONVENIENT OR INAPPROPRIATE, AND AGREE TO EXCLUSIVE JURISDICTION AND VENUE IN CALIFORNIA.

Policies for Children

The Service is not directed to individuals under the age of 13. In the event that we discover that a child under the age of 13 has provided personally identifiable information to us, we will make efforts to delete the child’s information if required by the Children's Online Privacy Protection Act. Please see the Federal Trade Commission's website for (www.ftc.gov) (www.ftc.gov) for more information. Notwithstanding the foregoing, pursuant to 47 U.S.C. Section 230 (d), as amended, we hereby notify you that parental control protections are commercially available to assist you in limiting access to material that is harmful to minors. More information on the availability of such software can be found through publicly available sources. You may wish to contact your internet service provider for more information.

General

Severability.If any provision of this Agreement is found for any reason to be unlawful, void or unenforceable, then that provision will be given its maximum enforceable effect, or shall be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provision.

Revisions. This Agreement is subject to change on a prospective basis at any time. In the event that we change this Agreement, you may be required to re-affirm the Agreement through use of the Service or otherwise. Your use of the Service after the effective date of any changes will constitute your acceptance of such changes.

No Partnership. You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or your use of the Service

Assignment. We may assign our rights under this Agreement, in whole or in part, to any person or entity at any time with or without your consent. You may not assign the Agreement without our prior written consent, and any unauthorized assignment by you shall be null and void.

No Waiver. Our failure to enforce any provision of this Agreement shall in no way be construed to be a present or future waiver of such provision, nor in any way affect the right of any party to enforce each and every such provision thereafter. The express waiver by us of any provision, condition or requirement of this Agreement shall not constitute a waiver of any future obligation to comply with such provision, condition or requirement.

Notices. All notices given by you or required under this Agreement shall be in writing and addressed to: OkTY C Corporation, 110 West 11th Street, Suite 400, Los Angeles, CA 90015 USA, or sent via email to admin@okty.app .

Equitable Remedies. You hereby agree that we would be irreparably damaged if the terms of this Agreement were not specifically enforced, and therefore you agree that we shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of this Agreement, in addition to such other remedies as we may otherwise have available to us under applicable laws.

Force Majeure. In no event shall we or our affiliates be liable to you for any damage, delay, or failure to perform resulting directly or indirectly from a force majeure event.

Entire Agreement. This Agreement, including the documents expressly incorporated by reference, constitutes the entire agreement between you and us with respect to the Service, and supersedes all prior or contemporaneous communications, whether electronic, oral or written.

Copyright Policy

If you believe in good faith that any material posted on our Services infringes the copyright in your work, please contact our copyright agent, designated under the Digital Millennium Copyright Act (“DMCA”) (17 U.S.C. §512(c)(3)), with correspondence containing the following:

  • A physical or electronic signature of the owner, or a person authorized to act on behalf of the owner, of the copyright that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed
  • Identification, with information reasonably sufficient to allow its location of the material that is claimed to be infringing;
  • Information reasonably sufficient to permit us to contact you;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and,
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Complaint Policy (Including Trademark and Privacy)
If you believe in good faith that any material posted on the Service infringes any of your rights other than in copyright, or is otherwise unlawful, you must send a notice to admin@okty.app containing the following information:

  • Your name, physical address, e-mail address and phone number;
  • A description of the material posted on the Service that you believe violates your rights or is otherwise unlawful, and which parts of said materials you believe should be remedied or removed;
  • Identification of the location of the material on the Service;
  • If you believe that the material violates your rights, a statement as to the basis of the rights that you claim are violated;
  • If you believe that the material is unlawful or violates the rights of others, a statement as to the basis of this belief
  • A statement under penalty of perjury that you have a good faith belief that use of the material in the manner complained of is not authorized and that the information you are providing is accurate to the best of your knowledge and in good faith; and
  • Your physical or electronic signature.

If we receive a message that complies with all of these requirements, we will evaluate the submission, and if appropriate, in our sole discretion, we will take action. We may disclose your submission to the poster of the claimed violative material, or any other party.
